1. Introduction and Acceptance of Terms
Welcome to the website of the LSE Alumni Association of Singapore (LSEAAS) (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, www.lsesingapore.org (the “Site”), and any content, features, or services offered on or through the Site (collectively, the “Services”). By accessing or using our Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Site.
2. Modification of Terms
We reserve the right to modify these Terms at any time, without prior notice. Any changes to the Terms will be effective immediately upon posting on this Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms. It is your responsibility to regularly review these Terms to stay informed of updates.
3. Use of the Site
3.1 Eligibility: You must be at least 18 years old to use this Site. By using this Site, you represent and warrant that you are at least 18 years old and that you have the right, authority, and capacity to enter into these Terms and to abide by all of the terms and conditions set forth herein.
3.2 License to Use: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for your personal, non-commercial use.
3.3 Prohibited Uses: You agree not to use the Site: a) In any way that violates any applicable local or international law or regulation. b) To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation. c) To impersonate or attempt to impersonate the LSEAAS, an LSEAAS representative, another user, or any other person or entity. d) To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm the LSEAAS or users of the Site or expose them to liability.
4. Intellectual Property Rights
4.1 Ownership: The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the LSEAAS, its licensors, or other providers of such material and are protected by Singapore and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
4.2 Trademarks: The LSEAAS name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the LSEAAS or its affiliates or licensors. You must not use such marks without the prior written permission of the LSEAAS.
5. User Contributions
5.1 User Content: The Site may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Site.
5.2 License Grant: By posting User Contributions on the Site, you grant us and our affiliates a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Contributions throughout the world in any media.
5.3 Representations and Warranties: You represent and warrant that: a) You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns. b) All of your User Contributions do and will comply with these Terms of Use.
6. Privacy and Data Protection
Your submission of personal information through the Site is governed by our Privacy Policy, which can be found at Privacy Policy. By using the Site, you consent to all actions we take with respect to your information consistent with our Privacy Policy.
7. Disclaimers
7.1 “As Is” and “As Available” Basis: Your use of the Site and its content is at your sole risk. The Site and its content are provided on an “As Is” and “As Available” basis. The LSEAAS expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.2 Accuracy of Information: The LSEAAS makes no warranty that the Site will meet your requirements, or that the Site will be uninterrupted, timely, secure, or error-free; nor does the LSEAAS make any warranty as to the results that may be obtained from the use of the Site or as to the accuracy or reliability of any information obtained through the Site.
8. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will the LSEAAS, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Site, any websites linked to it, any content on the Site or such other websites or any services or items obtained through the Site or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
9. Indemnification
You agree to defend, indemnify, and hold harmless the LSEAAS, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your User Contributions, any use of the Site’s content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.
10. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of, or related to, them, their subject matter or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Singapore without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of Singapore. However, we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.
11. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, including any question regarding its existence, validity, or termination (“Dispute”), the parties shall first attempt to resolve the Dispute through amicable negotiations. If the Dispute cannot be resolved through such negotiations within thirty (30) days from the date on which either party gives written notice of the Dispute to the other party, then either party may elect to resolve the Dispute by mediation in accordance with the Mediation Rules of the Singapore Mediation Centre for the time being in force. If the Dispute remains unresolved after mediation, it shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The tribunal shall consist of one (1) arbitrator to be appointed by the Chairperson of the SIAC. The language of the arbitration shall be English.
12. Waiver and Severability
No waiver by the LSEAAS of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the LSEAAS to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
13. Entire Agreement
The Terms and our Privacy Policy constitute the sole and entire agreement between you and the LSEAAS regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
14. Language
In accordance with Singapore law, these Terms are written in English. Any translation into another language is provided solely for convenience, and the English version shall prevail in case of any inconsistency or conflict.
15. Third-Party Rights
A person who is not a party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act (Cap. 53B) to enforce any of its terms.
